Terms of Service
These Terms of Service (the Terms) are a legally binding agreement between CoreOctal, — — we, us, Tile Stage — and the business that registers for Tile Stage (the Customer, you) and every person the Customer allows to use it (a User). By creating an account, by inviting or accepting an invitation to an account, or by using the service, you accept these Terms and the Privacy Policy. The documents listed in clause 17 form part of these Terms. If you accept on behalf of a company, you confirm that you are authorised to bind it.
1. The service
1.1 Tile Stage is an online studio in which a tile business stages its own tile designs on photographs of rooms and spaces ("Spaces") in 2D, 3D and 360° views, adjusts layout, grout and finish, and downloads the result as images and brochures (together, Renders). It is offered as a subscription service over the internet at https://tilestage.in; nothing is installed and nothing is shipped.
1.2 The Spaces, the software, the studio, the catalogue and every improvement to them are ours and our licensors' (see the Copyright & Content Policy). The tile images, logos and company details a Customer uploads are the Customer's (Customer Content).
1.3 Renders combine a Space with Customer Content. A Customer may use its Renders for its own sales, design and marketing work, in print and online, including in material given to its own customers. A Customer may not sell, license, sublicense or distribute the Spaces themselves, a Render that shows no Customer tile, or any Render as stock imagery or as part of a competing service.
2. Accounts and access
2.1 Every account is verified by us before it is activated — we check the company's name, registration, address, website, e-mail and phone, usually within one working day. We may decline or delay an account at our discretion and without giving a reason. Changing verified company details sends the company into verification again; its users are signed out until we approve the new details.
2.2 The Customer's administrator creates the Customer's users and sets what each may do. Each user must be a real person with their own credentials. Accounts, passwords and authenticator codes must not be shared. By default an account may be signed in on one device at a time; a sign-in on a second device signs the first out. The Customer is responsible for everything done under its users' accounts.
2.3 Keep your credentials secret and tell us at once at — if you suspect misuse. We may require a strong password, two-factor authentication and a verified e-mail address.
2.4 Users must be at least 18 years old. The service is for businesses, not consumers.
3. Fair use and protection of the service
3.1 Each plan includes a number of previews and brochures per month and per year. The counts are kept per Customer and are not reduced by deleting a stored file. When a limit is reached the action is refused until the period ends or the plan is changed.
3.2 The Spaces are the heart of the service and are protected. The following are prohibited for every User, whether done by hand, by script, browser extension, API client, proxy or any other means: downloading, copying, caching, scraping, harvesting or mirroring Spaces, scene photographs or catalogue data; opening Spaces or fetching their files beyond the ordinary rhythm of design work; sharing links, sessions or any credential the studio uses; getting around, disabling or probing any technical protection of the service; using the browser's developer tools or similar on the signed-in pages to inspect, extract or interfere with the service; reverse engineering the studio; or using the service to build a similar product.
3.3 To protect the service we keep records of its use (what was opened, downloaded, uploaded and changed, by whom, when and from which network address), apply fair-use limits, and may sign a user out, suspend the account for review and block the network address for a while when use looks automated, abusive or in breach of clause 3.2. A suspended account is released after our review. These measures may occasionally be triggered by unusual but innocent use — if that happens to you, write to — and we will restore the account promptly.
3.4 We may suspend or terminate an account or a Customer that breaches clause 3.2, and we may claim the loss caused.
4. Customer Content
4.1 You keep every right in Customer Content. You grant us a worldwide, royalty-free licence to host, store, resize, convert, display and process Customer Content only as needed to provide the service to you (for example to render tiles on Spaces, to generate thumbnails and brochures and to keep backups).
4.2 You confirm that you own or are licensed to use every tile image, logo, name and detail you upload, that it infringes no one's rights and that it is not unlawful, misleading or offensive. We may remove content that breaches this clause or the law, and we handle notices under the Copyright & Content Policy.
4.3 Stored Renders and brochures are kept for the period chosen for your account (by default while the account exists; your administrator or we may set a shorter retention). Usage counts are kept even when files are removed.
5. Fees, invoices and payment
5.1 Plans, prices and included quantities are quoted per Customer and stated in the order, quote or plan page (see Pricing & Payment Terms). Prices are in Indian Rupees and exclusive of GST and any other applicable tax, which is added to the invoice at the prevailing rate.
5.2 Payments are collected through an RBI-regulated payment aggregator by card, UPI, net banking, wallet or any other method it offers. We never see or store your full card details. Recurring payments run under a mandate you authorise at checkout and can revoke at any time; a notification is sent before every recurring debit as the RBI requires.
5.3 Invoices are issued electronically. If a payment fails or a renewal is not paid, access may be reduced to read-only and then suspended after a grace period of seven days, and reactivated when the amount is paid. Customers that must deduct tax at source shall deduct it as law requires and provide the TDS certificate; the invoice amount is otherwise payable in full.
5.4 Cancellation and refunds are governed by the Refund & Cancellation Policy. We may change prices with at least 30 days' notice by e-mail; the new price applies from the next renewal.
6. Availability, support and changes
6.1 We aim to keep the service available at all times, but the service is provided "as is" and "as available". Maintenance, upgrades, the failure of third-party services (hosting, network, payment, e-mail) and events outside our control may interrupt it. Support, maintenance windows and our availability target are described in Support & Service Levels.
6.2 We improve the service continually and may add, change or withdraw features. We will give reasonable notice of a change that materially reduces the service.
7. Privacy and data
7.1 Personal data is handled as described in the Privacy Policy, which forms part of these Terms. Where a Customer enters personal data of its own staff, customers or contacts into the service, the Customer is the data fiduciary for that data and we process it on the Customer's instructions under the Data Processing Addendum.
7.2 We keep regular backups of the service to restore it after a failure. Backups are not an archive you may rely on; keep your own copies of important Renders and brochures.
8. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for this agreement. Customer Content, Customer usage data, prices quoted to the Customer and the inner workings of the service are confidential. This does not cover information that is public, already known, independently developed, or that must be disclosed by law or by a court or regulator, in which case the party notifies the other if allowed.
9. Intellectual property
9.1 We own the service, the studio, the Spaces, the catalogue, the trade marks "Tile Stage" and the TS mark, and every related right. You receive only the limited rights these Terms and the End User Licence Agreement grant. Feedback you give us may be used freely.
9.2 Nothing in these Terms transfers any right in Customer Content to us beyond the licence in clause 4.1.
10. Warranties and disclaimers
10.1 We warrant that we will provide the service with reasonable skill and care. Beyond this, to the extent the law allows, we exclude every warranty, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
10.2 Renders are visualisations. The colour, texture, scale, lighting, reflection and layout shown on a screen differ from a real tile in a real room. They are a design aid, not a representation of the finished installation, and no purchasing or construction decision should rest on a Render alone. See the Disclaimer.
11. Limitation of liability
11.1 To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive loss, loss of profit, revenue, business, goodwill or data, however caused.
11.2 Our total liability for all claims under or in connection with this agreement in any twelve-month period is limited to the fees the Customer paid us for the service in those twelve months.
11.3 Nothing limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or anything that cannot be limited by law.
12. Indemnity
The Customer indemnifies us against claims, losses and costs (including reasonable legal fees) arising from Customer Content, from a breach of clause 3 or clause 4 by the Customer or its Users, or from the Customer's unlawful use of the service.
13. Term, suspension and termination
13.1 The agreement starts when the account is activated and runs for the subscription period, renewing as the plan states until cancelled.
13.2 The Customer may cancel at any time from the account or by e-mail to —; cancellation takes effect at the end of the paid period unless the Refund & Cancellation Policy says otherwise.
13.3 We may suspend or terminate immediately if the Customer or a User breaches these Terms (in particular clause 3), does not pay, becomes insolvent, or if the law requires. We may also terminate for convenience with 30 days' notice and a pro-rata refund of prepaid, unused fees.
13.4 For 30 days after termination the Customer may download its Customer Content, Renders and brochures. Afterwards we delete them within 90 days, except what we must keep by law or in backups that expire on their own schedule. Clauses 3.2–3.4, 8, 9, 11, 12, 13.4 and 15 survive termination.
14. Changes to these Terms
We may update these Terms. The new version is published at https://tilestage.in/legal/terms with its effective date and a summary of changes, and Customers are notified by e-mail. Users are asked to accept the new version the next time they sign in; a user who does not accept may not use the service further, and the Customer may cancel. Changes required by law or that only favour the Customer may take effect at once.
15. Governing law and disputes
15.1 These Terms are governed by the laws of India. Subject to clause 15.2, the courts of the place of our registered office have exclusive jurisdiction.
15.2 Before any claim, the parties try in good faith to resolve the matter by discussion between their representatives for 30 days. Nothing prevents either party from seeking urgent injunctive relief.
15.3 Consumer protection laws apply to the extent they cannot be excluded.
16. Notices
16.1 Notices to us go to —; notices to the Customer go to the administrator's registered e-mail address. E-mail notices are deemed received the next working day.
17. Documents that form part of these Terms
The End User Licence Agreement, the Acceptable Use Policy, the Pricing & Payment Terms, the Refund & Cancellation Policy, the Service Delivery Policy, the Data Processing Addendum, the Disclaimer, the Copyright & Content Policy, Support & Service Levels and Contact & Legal Entity form part of these Terms. Where a policy and these Terms differ, these Terms prevail, except that the Data Processing Addendum prevails for the processing of Customer personal data.
18. General
Entire agreement: these Terms with the documents they include form the whole agreement and replace earlier discussions. Assignment: the Customer may not assign the agreement without our consent; we may assign it to a successor of the business. Severability: an invalid clause is replaced by a valid one with the closest effect. Waiver: a delay in enforcing a right is not a waiver. Force majeure: neither party is liable for a failure caused by events beyond its reasonable control. Relationship: independent contractors, no agency or partnership. Language: English prevails over any translation.
